We are looking for anexperienced Corporate Law Clerkto join our Legal team. This full-time position will be based in our office located in Florenceville-Bristol, New Brunswick, or our downtown Toronto office. The ideal candidate will have at least 7-10 years of corporate experience, with plenty of experience and a strong understanding of corporate record management, and with excellent interpersonal skills and plenty of energy and motivation to make a big impact.

Key Accountabilities

Corporate Records

  • Update and maintain the global legal entity records, including physical and electronic minute books, corporate entity database, organizational structure charts and entity lists for the McCain group of companies
    • Coordinate annual compliance for the McCain group of companies, including annual resolutions and executive risk renewal
    • Coordinate business name, extra-jurisdictional and other registrations, annual return filings and searches, locally and abroad
    • Coordinate charts and summaries in support of varying information requests
  • Assist with additional ad hoc or annual corporate notices, agendas, resolutions, minutes or other materials, as required
  • Assist Legal and other corporate teams with “know your customer” requests and requirements
  • Assist with updating bank account information for certain local and global subsidiaries

Reorganizations and Strategic Projects

  • Assist with corporate reorganizations and flow of funds work, including incorporations, amendments, continuances, year-end amalgamations or dissolutions, capital contributions, dividends, returns of capital and transfers of interests
  • Assist with transactions, including responding to information requests, arranging documents for due diligence reviews, post-closing matters, and record book management

Team Resources

  • Prepare and review simple corporate certificates (e.g. notarial), agreements (e.g. NDAs) and other materials based on templates or precedent materials
  • Revise and develop standard contract materials and other legal templates, as required
  • Organize and manage template and precedent resources for the Legal team
  • Participate in special projects, initiatives and other duties, as assigned


Qualifications

  • Minimum of 7-10 yearsof comparable law clerk experience in a mid/large law firm or in-house legal department, including experience organizing and working with corporate books and records and working in commercial transactions
  • Successful completion of an accredited Law Clerk program
  • Excellent interpersonal, communication and problem solving skills, with an ability to prioritize workload and manage multiple priorities
  • Excellent organizational skills and attention to detail
  • Excellent drafting and proofreading skills
  • Reliable, dependable and comfortable working in a team as well as independently
  • Strong skills in Microsoft Office (including Word, Excel, PowerPoint and Outlook) and Adobe, and experience with a dedicated corporate database software (e.g. hCue, Corplink, Diligent, OneWorld, etc.)
